                                                      XXX Company – Sponsorship(Service) Contract

                                                                          Background

This contract is for the use of sponsorship with Youtube channel  described below. This contract sets forth the terms and conditions of that engagement, and is the entire agreement, no modification of this contract or representations made by either party shall be binding or valid, without a written agreement which has been signed by both parties.  

This contract is made between the producer of the Youtube channel (company /individual name (SSN id if the producer is an individual and presiding address, hereinafter referred as “The Producer”) and xxxxxxxx， legal representative, hereinafter referred to as “xxxxxx”) and is made and entered into as of the [date  XXXX] (“Effective Date”)

                                                                       1.  Terms and conditions

xxxxxxxxx is of the opinion that the Producer has the necessary qualifications, experiences and abilities to provide services to it. The Producer is agreeable to providing such services to xxxxxxx on the terms and conditions set out in this agreement.

1.1  Services provided: xxxxxxx agrees to be responsible to provide the Youtube channel with [product name  XXXX]  products to do the video project on , and the Producer agrees to guarantee the video will show up in 30 days on  after receiving the products shipped from xxxxxxx. The exception below can be treated differently according to a specific situation:

1.11. Defective product: Whenever the Producer encounters a defective product, including but not limited to the whole product’s defectiveness, a product’s partial defectiveness such as no hardware or wrong/defective hardware, which either is due to manufactory or carrier, the beginning date will be counted as the date when the Producer receives the right product (with hardware).         xxxxxxx hereto takes the responsibility to change or resend the product/hardware.

1.12 Force majeure: The Producer needs to contact xxxxxxx immediately about the issue and get solutions, if any uncontrollable situation causes its not being able to complete the video.

1.2. The Producer agrees to contact xxxxxxx about the content of the video before posting to Youtube channel. The video shall :

1.21. Shows the usage of the product, including but not limited to unboxing, installation steps and exhibition.

1.22 Include a product link from xxxxxxxx.

1.3xxxxxx agrees to transfer fund $          to the Producer via             .
The producer will provide its bank account information and send a confirmation page/receipt to xxxxxxxx when receiving the transfer. The transaction will be in 2 installments :

1.31 xxxxxxx shall transfer half the total amount  $          (saying …..) to the Producer when this contract is signed by both parties.

1.32 xxxxxxx shall complete the other half amount of the fund $       (Saying ,,,, ) when the video shows up successfully.

                                                                        2. Special Circumstances:
   2.1 The Producer takes full responsibility for the information provided to xxxxxxx, and makes sure its bank account information is correct. If a false transferring is occurred due to the wrong account information, the Producer shall still need to follow the contract and finish the video project.
      
   2.11. xxxxxxx takes full responsibility if it receives the right bank account information but transfers the payments to a wrong account.

xxxxxxxx reserves the right to revise or withdraw these specifications above.

                                                                          3.Term of Agreement

3.1 The term of this Agreement will begin on the date of this Agreement and will remain in full force and effect till the completion of the services, subject to earlier termination as provided in this Agreement. The term of this Agreement may be extended with the written consent of the parties.

3.2 In the even that either party breaches a material provision under this Agreement, the non-defaulting party may terminate this Agreement and require the defaulting party to indemnify the non-defaulting party against all reasonable damages.

                                                                       4.Compensation

4.1 For the services rendered by the Producer as required by this Agreement, xxxxxxx  will provide compensation to the Producer of a fixed extra amount of                   for the delay of paying, or non-payment as contracted to the producer.

     For the services rendered by the Producer not as required, the Producer agrees to provide compensation to xxxxxxx a fixed amount of xxxxxxxx

     The compensation as stated in this Agreement does not include sales tax, or other applicable duties as may be required by law, and any sales tax and duties required by law will be charged to the default party in addition to the compensation.

                                                                     5. Reimbursement of Expenses

5.1 The producer will not be reimbursed for any expenses in connection with providing the services to the compensation,

                                                                     6. Confidentiality

6.1 Confidential information refers to any data or information relating to oxxxxxx, whether business or personal, which would reasonably be considered to be private or proprietary to it and that is not generally known and where the release of that confidential information could reasonably be expected to cause harm.

6.2 The producer agrees not to disclose, divulge, reveal report or use, for any purpose , any confidential information which the producer has obtained, except as authorized by or as required by law. The obligations of confidentiality will apply during the term of this agreement and will survive indefinitely upon termination of this Agreement.

6.3 All written and oral information and material disclosed or provided by xxxxxxx to the producer under this agreement is confidential information regardless of whether it was provided before or after the date of this agreement or how it was provided to the producer.

                                                                  7.Ownership of intellectual Property

7.1 All intellectual property and related material that is developed or produced under this agreement, will be the sole property of xxxxxx. The use of the intellectual property by xxxxxxx will not be restricted in any manner.

7.2 The producer may not use the intellectual property for any purpose other than that contracted for in this agreement except with the written consent of xxxxxx. The contractor will be responsible for any and all damages resulting from the unauthorized use of the intellectual property.

7.3 Upon the expiry or termination of this agreement,  the producer will return any property, documentation, records or confidential information which is the property of xxxxxxx.

                                                               8.Capacity/independent producer

8.1 In providing the services under this agreement it is expressly agreed that the producer is acting as an independent contractor and not as an employee. The producer and xxxxxxx. Acknowledge that the agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.

                                                               9. Notice

All notice, requests, demands or other communications required or permitted by the terms of this agreement will be given in writing and delivered to the parties of this agreement as follows:

                                                             10. Governing law

This Contract shall be construed and interpreted under the Laws of United States. All legal actions and proceedings arising out of this Contract shall be brought to the jurisdiction of proper courts in United States.

                                                                11. Waiver

   The waiver by either party of a breach default, delay or omission of any of the provisions of the agreement by the other party will not be construed as a waiver of any subsequent breach of the same or other provisions.

                                                                 12. Severability

In the even that any of the provisions of this agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this agreement.

                                                                  13. Assingment

    The producer will not voluntarily or by operation of law assign or otherwise transfer its obligations under this agreement without the prior written consent of xxxxxxxx.

   IN WITNESS WHEREOF the parties have duly affixed their signatures hand and seal on this 31st day of August, 2016.
